Non-Exclusive Licensing Agreement

This Non-Exclusive Licensing Agreement (“Agreement”) is made between PixelsProd LLC (“Licensor”) and the Client (“Licensee”) for the use of the music production described below.

1. Grant of Rights

  • Licensor grants Licensee a non-exclusive, limited license to use the Track for personal, commercial, or performance purposes.

  • Licensor retains the right to license the Track to other clients, including for commercial use.

  • Licensee may use the Track in recordings, performances, broadcasts, and digital streaming as outlined in this Agreement.

2. Ownership

  • Licensor retains full copyright and ownership of the Track.

  • Licensee receives usage rights only as defined in this Agreement.

  • Licensee may not claim ownership of the Track or redistribute/sell it as their own.

3. Payment

  • License Fee: $[Insert Amount]

  • Payment is due in full at the time of purchase.

  • Additional services, revisions, or customizations may incur extra fees.

4. Delivery

  • The Track will be delivered digitally in standard formats (WAV, MP3, stems) after payment is confirmed.

  • Delivery will occur via secure download link or other agreed method.

5. Revisions

  • The package includes [X] rounds of revisions based on the purchased package:

    • $600 Essential Record Pack: 2 revisions

    • $1000 Signature Sound Suite: 4 revisions

  • Additional revisions are subject to extra fees.

6. Restrictions

  • Licensee may not resell, sublicense, or redistribute the Track to third parties.

  • Licensee may not claim the Track as their original work.

  • Licensee is responsible for compliance with copyright laws when using the Track in derivative works or collaborations.

7. Termination

  • This Agreement may be terminated if either party breaches its terms and fails to correct the breach within 14 days of written notice.

  • Termination does not revoke Licensee’s rights to tracks already delivered and fully paid for under this Agreement.

8. Liability Disclaimer

  • Licensor is not liable for indirect, incidental, or consequential damages arising from the use of the Track.

  • The Track is provided “as-is” with professional quality guaranteed, but commercial success is not guaranteed.

9. Governing Law

This Agreement is governed by the laws of the State of Missouri, United States. Any disputes will be subject to the jurisdiction of courts in Columbia, MO.
